Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Subscriptix (the “Service”), provided by Sparrowstep, LLC (“Sparrowstep,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
The Service
Subscriptix is a web application for subscription cohort analysis and revenue projection. It lets you upload or connect subscription data, model retention and reactivation, and generate projections and reports. We may add, change, or remove features over time.
Accounts
You must provide accurate information when creating an account and keep it up to date. You are responsible for activity that occurs under your account and for maintaining the security of your sign-in credentials. Notify us promptly of any unauthorized use.
Acceptable use
You agree not to:
- Use the Service in violation of any applicable law or regulation.
- Upload or connect data you do not have the right to use or share.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, copy, or resell the Service except as permitted by law.
Your data
As between you and us, you retain all rights to the data you upload or connect to the Service (“Your Data”). You grant us a limited license to host, process, and display Your Data solely to provide and improve the Service for you. You are responsible for the accuracy and legality of Your Data and for having the rights needed to provide it to us.
Third-party services
The Service may integrate with third-party providers, such as Google and Microsoft for sign-in and Stripe for importing subscription data. Your use of those services is governed by their own terms and policies, and we are not responsible for them. You are responsible for any credentials or connections you authorize.
Intellectual property
The Service, including its software, design, and content (excluding Your Data), is owned by Sparrowstep and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
Fees
If we offer paid plans, the applicable fees, billing terms, and renewal terms will be presented to you before you purchase. Unless stated otherwise, fees are non-refundable except as required by law.
Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Projections and analyses produced by the Service are estimates based on the data and assumptions you provide and are not guarantees of future results. You are responsible for the business decisions you make using the Service.
Limitation of liability
To the fullest extent permitted by law, Sparrowstep will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars.
Indemnification
You agree to indemnify and hold harmless Sparrowstep from claims, damages, and expenses (including reasonable legal fees) arising out of Your Data, your use of the Service, or your violation of these Terms.
Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends, and we may delete Your Data in accordance with our Privacy Policy.
Governing law
These Terms are governed by the laws of the United States, without regard to its conflict-of-laws principles. You agree that any dispute will be resolved in the United States.
Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
